By signing up to DX Software's Software, You agree that You have read, understood and are bound by this Agreement. Unfortunately, if You do not agree to this Agreement, We are unable to provide Our Software to You.
DX Software may amend this Agreement from time to time. We commit to sending an email to the email address associated with Your Account and posting a written notice on Our Site 30 calendar days before any changes go into effect, provided such changes are not mandated by law to take effect on an earlier date. Your use of Our Site and/or Software following the effective date of any modifications to this Agreement will constitute Your acceptance of the modified Agreement.
In addition to the terms otherwise defined in this Agreement, the following terms have the definitions below:
1.1. “Applicable Law” shall mean the laws to which DX Software is subject, particularly Regulation (EU) 2016/679 (General Data Protection Regulation - “GDPR”), the California Consumer Privacy Act (the “CCPA”), the Brazilian Lei Geral de Proteção de Dados (the “LGPD”) and the Laws of Romania, and other laws as may be applicable from time to time;
1.2. “Confidential Information” shall mean all information provided by You or Us, whether orally or in writing, which information is designated as or is by its nature not intended to be public;
1.3. “Data” shall mean anything that You share with us, including Personal Data and Confidential Information, and any data which is publicly available;
1.4. “Intellectual Property Rights” shall mean copyrights, rights to use, and trademarks, and all other industrial and intellectual property rights, in each case whether registered or unregistered, which currently subsist, or will subsist, now or in the future, in any part of the world;
1.5. “Personal Data” shall mean any data that can be used to identify an individual, whether directly or indirectly (e.g. name, identification number, location data, an online identifier, etc.). This definition includes any equivalent definition in the Applicable Law;
1.6. “Software” shall mean the software as a service (SaaS) offered by DX Software consisting of a variety of analytics and user feedback products as further described on Our Site;
1.7. “Site/s” shall mean dxsoftware.net, in addition to any sub-pages that are integrated within it;
1.8. “Standard Contractual Clauses or SCCs” shall mean the “Standard Contractual Clauses for the transfer of personal data to third countries pursuant to Regulation (EU) 2016/679 of the European Parliament and of the Council” as adopted by the European Commission on 4 June 2021 (Commission Implementing Decision (EU) 2021/914);
1.9. “Sub-Processing”, means the processing of Personal Data on behalf of the Processor by a subcontractor (each a “Sub-Processor”). In this Agreement, it does not include ancillary services, such as telecommunication services, postal / transport services;
1.10. “Third Party/ies” shall mean any persons, whether natural or legal, which are neither You nor DX Software;
1.11. “UK Addendum to the SCCs” shall mean the United Kingdom Addendum B.1.0 to the Standard Contractual Clauses issued by the United Kingdom Commissioner's Office;
1.12. Where capitalized terms are used in this Agreement which are not defined above, they shall have the meaning given to them in the GDPR, or the equivalent definitions under Applicable Law (i.e., Personal Data shall mean “personal information” as defined by the CCPA to the extent the CCPA is applicable).
2.1. To use the Software, You must create an Account by providing DX Software with all required information and accepting this Agreement. You agree to provide DX Software with complete and accurate information upon registration.
2.2. If You use Our Site or Software on behalf of a legal entity (such as Your employer or a client), You represent and warrant that You have the authority to bind that legal entity. If You no longer have this authority, then You shall inform DX Software and the legal entity shall provide DX Software with a new authorized representative. DX Software shall not be held liable should a person without the necessary authorization enter into this Agreement for and on behalf of a legal entity.
2.3. We reserve the right to access Your Account, the information that You have provided and the Data You have stored with Us for support, maintenance and servicing purposes or for any security-related, technical or billing reasons.
2.4. Each user of Your Account shall comply with this Agreement and You are responsible for acts or omissions by a user of Your Account in connection with their use of the Software.
3.2. You and DX Software agree that You are the Controller of Personal Data processed under this Agreement, that DX Software is the Processor and/or Service Provider and may process Personal Data on Your behalf.
3.3. You shall comply with all laws applicable to the Processing of Personal Data by You in connection with the use of Our Software. For clarity, this includes any processing You carry out after exporting or downloading Personal Data from the Software and subsequently using it for Your business purposes.
3.4. If You are situated in a country outside the European Union (EU) and the European Economic Area (EEA) and Your processing of Personal Data is not subject to the GDPR, the SCCs shall be incorporated in these Terms of Service.
3.5. If You are situated in the United Kingdom (UK), the SCCs shall apply together with the UK Addendum to the SCCs, in relation to the transfer of Personal Data from the United Kingdom and shall be incorporated in these Terms of Service.
4.1. DX Software establishes data security in accordance with the Applicable Laws. The measures to be taken must be designed to guarantee a protection level appropriate to the risk concerning confidentiality, integrity, availability, and resilience of the systems. The state of the art, implementation costs, the nature, scope and purposes of processing, as well as the probability of occurrence and the severity of the risk to the rights and freedoms of natural persons, must also be taken into account.
4.2. DX Software has set out a number of security measures and may implement alternative adequate measures from time to time, provided such measures will not materially reduce DX Software's security level.
4.3. DX Software shall provide You, upon reasonable request, with adequate proof of compliance with its Data Processing obligations under this Agreement.
5.1. Either You or DX Software may terminate this Agreement for cause as a result of a material breach by the other party of this Agreement if the defaulting party fails to cure such material breach within fifteen (15) calendar days of its receipt of written notice of the breach from the non-defaulting party.
6.1. Except as otherwise stated herein, all rights, titles, and interest in Our Site and/or the Software and any content and Intellectual Property Rights contained therein is the exclusive property of DX Software. Unless otherwise specified, the Software is for Your limited use only and if You copy or download any information from this Site and/or Software, You agree that You shall not remove or obscure any copyright or other notices contained in any such information.
6.2. Subject to this Agreement, DX Software grants You a limited, revocable, non-exclusive, non-transferable and non-assignable license to use the Site and/or access the Software as a software as a service (SaaS) solution for commercial use subject to the terms of this Agreement. You hereby agree not to resell any part of the Software to Third Parties. You may not modify, copy, distribute, or otherwise use Our Site and/or the Software in any other way as set out in this section. You shall not use the Software, including in conjunction with, any device, program, or service designed to circumvent any deployed technological measures, in an attempt to control access to, or the rights in, a content file or other work protected by intellectual property laws.
6.3. Any breach of the above shall constitute a material breach of this Agreement and shall prompt Us, at Our own discretion, to immediately suspend or terminate Your right to access the Software. Any breach of this Clause shall make You liable for damages suffered by DX Software .
7.1. In the course of providing its Software to You, DX Software will have access to some of Your Data. All rights, title, and interest in the Data is Your exclusive property, except as otherwise provided for throughout this Agreement.
7.2. Except as otherwise stated in this Agreement, DX Software shall not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, frame, create derivative works from, transfer, or otherwise use in any other way for commercial or public purposes, in whole or in part, any of Your Data, except for the purposes of the provision of the Software, without any further prior need of approval or consent from You.
7.3. If You provide DX Software with any feedback, suggestions, comments or improvements with respect to the Site and/or Software, DX Software may make use of these without limitations and an expectation to compensate You.
8.1. DX Software shall maintain Your Confidential Information in the strictest confidence. To formalize this commitment with You, We have a Non-Disclosure Agreement You can optionally sign with Us if You'd prefer.
8.2. You acknowledge and agree that DX Software may disclose any Data, including Confidential Information if DX Software is required to do so by mandatory law or in the good faith belief that such preservation or disclosure is reasonably necessary to:
comply with a legal process;
enforce this Agreement;
respond to claims that any of Your content and/or Data violates the rights of Third Parties; or
protect the rights, property, or personal safety of DX Software , the Site, the Software, its users, and the public.
9.1. Each party represents and warrants to the other party that it has all necessary rights and authority to enter into the Agreement.
9.2. DX Software warrants and represents to You that:
the Intellectual Property Rights in any material provided by DX Software as part of the Site and/or the Software do not, to the best of DX Software's knowledge, infringe any Third Party Intellectual Property Rights when used by You in accordance with this Agreement; and
DX Software will only use Your Data in accordance with this Agreement and Applicable Law.
9.3. You represent and warrant that You will comply with all applicable laws and regulations applicable to You (including export and re-export control laws and sanctions) when using Our Software.
10.1. DX Software shall comply with all Applicable Laws when carrying out this Agreement, in particular:
DX Software has appointed a data protection officer, who can be contacted at [email protected];
DX Software shall keep Your Personal Data logically separated from Personal Data Processed on behalf of any Third Party;
DX Software entrusts only persons (whether natural or legal) with the Processing under this Agreement who maintain confidentiality and have been informed of any special data protection requirements relevant to their work;
DX Software shall cooperate, on request, with the relevant data protection supervisory authority in the performance of its tasks;
DX Software shall inform You without undue delay of any inspections and measures conducted by the supervisory authority, insofar as they relate to the processing of Your Personal Data under this Agreement;
DX Software shall undertake reasonable efforts to support You if You are subject to inspection by the supervisory authority, an administrative or summary offense or criminal procedure, a liability claim by a Data Subject or by a Third Party or any other claim in connection with this Agreement;
Upon Your request, DX Software shall provide You with reasonable cooperation and assistance needed to fulfill Your obligation under the laws applicable to You to carry out a Data Protection Impact Assessment (DPIA) and, where necessary, a prior consultation related to Your use of the Our Software, to the extent that You do not otherwise have access to the relevant information, and to the extent such information is available to Us; and
Taking into account the nature of the Processing and the Software, DX Software shall assist You by adopting appropriate technical and organizational measures, insofar as this is possible, for the fulfillment of Your obligation to respond to a data subject's request under the applicable data protection laws.
11.1. DX Software shall assist You in complying with Your statutory obligations regarding the security and protection of Personal Data in connection with this Agreement. This includes, to the extent this is necessary, for You to comply with Your statutory obligations:
assisting You with ensuring an appropriate level of protection through technical and organizational measures;
notifying You without undue delay after having become aware of any accidental, unauthorized, or unlawful destruction, loss, alteration, or unauthorized disclosure of, or access to, Personal Data ("Security Breach").
cooperating with You and providing You with any information which You may reasonably request relating to the Security Breach. DX Software shall investigate the Security Breach and shall identify, prevent and make reasonable efforts to mitigate the effects of any such Security Breach and, with Your prior agreement, to carry out any recovery or other action necessary to remedy the Security Breach;
assisting You through appropriate measures with regard to Your obligation to inform Data Subjects and competent authorities in case of a Security Breach.
12.1. You have the right, after consultation with DX Software and with reasonable advance notice, to carry out reasonable inspections of DX Software's policies, procedures, and records related to Personal Data You capture using Our Software or to have them carried out by an auditor to be designated in each individual case in order to convince Yourself of DX Software's compliance with this Agreement. Any audit must be:
conducted during DX Software's regular business hours;
carried out in a manner that prevents unnecessary disruption to DX Software's operations; and
subject to reasonable confidentiality procedures. These rights shall not extend to facilities that are operated by Sub-Processors, sub-contractors or any Third Parties which DX Software may use to provide its Software, the monitoring of which is DX Software's responsibility.
12.2. DX Software shall ensure that You are able to verify DX Software's compliance with its obligations as Processor in accordance with Applicable Laws and within the scope of this Agreement. DX Software undertakes to provide You all information reasonably necessary for this purpose on request within a reasonable timeframe.
12.3. Evidence of the implementation of any measures in this regard may also be presented in the form of up-to-date attestations, reports or extracts thereof from independent bodies (e.g. external auditors, internal audit, the data protection officer, the IT security department or quality auditors) or suitable certification by way of an IT security or data protection audit or by other measures provided by law.
13.1. You retain a general right of instruction as to the nature, scope and method of Processing of Personal Data on Your behalf. The initial instructions are in this Agreement and may be supplemented with individual instructions from time to time through Our Software.
13.2. DX Software shall only be obliged to accept instructions in writing which may be electronically communicated. Unless required to provide the Software to You, no copies or duplicates of Personal Data processed on Your behalf may be produced without Your knowledge. For clarity, this does not apply to backup copies where these are required to ensure proper Data Processing, or to any Data required to comply with statutory retention rules.
13.3. DX Software shall inform You immediately if it believes that any of Your instructions infringes on Applicable Law. DX Software may then postpone the execution of the relevant instruction until it is confirmed or changed by You.
14.1. You agree to DX Software's use of Sub-Processors on the condition that DX Software has executed a contractual agreement with such Sub-Processors in accordance with Applicable Law.
14.2. Outsourcing to further Sub-Processors or changing any existing Sub-Processors is permissible if DX Software informs You of the identity of the Sub-Processor and the scope of the planned Sub-Processing in writing and You do not object to the planned Sub-Processing in text form within ten (10) business days as from giving notice by DX Software . You shall not unreasonably object to the planned Sub-Processing.
14.3. Before the Sub-Processor first Processes any of Your Data DX Software will carry out adequate due diligence checks to ensure that the Sub-Processor is capable of providing the level of protection for the Personal Data required by this Agreement.
15.1. In no event shall DX Software or any of its representatives be liable to You or any Third Party for any direct, indirect, special, exemplary, punitive or other consequential or incidental damages (including but not limited to any lost profits or revenue, interruption, loss of programs or other information, or any other measurable loss) arising directly or indirectly from:
Your use of or access to Our Site and/or Software, or any content, products or services distributed on or provided through Our Site and/or Services,
for any failure or interruption of Our Site and/or Software;
16.1. You use the Internet, Our Site and Software solely at Your own risk and subject to all applicable laws and regulations. Since Our Site and Software are online and accessible from anywhere in the world, You declare that You are aware that access to Our Site and/or Software may not be legal by certain persons or in certain jurisdictions.
16.2. While DX Software is committed to creating secure and reliable Site and Software, DX Software is not responsible for the security of any information outside of its control. DX Software shall have no liability for interruptions or omissions in internet, network or hosting services.
17.1. DX Software'sDX SoftwareSite and/or Software may include links to certain websites, materials, or content developed by Third Parties. Use of any such linked material is at Your own risk.
18.1. Unless You specifically withdraw Your consent to this clause by sending an email at [email protected], You acknowledge and consent that DX Software may make use of any of Your marks, logos and trade names to identify You as DX Software's user/customer on DX Software's Site and/or Software, in addition to any other marketing material.
19.1. Actual or attempted unauthorized use of any of Our Site and/or Software may result in the institution by Us of criminal and/or civil prosecution. For Your protection, We reserve the right to view, monitor, and record activity on Our Site and/or Software without notice or further permission from You, as permitted by the Applicable Law and this Agreement. This right extends to Our review of tracking activity and details pertaining to claimed violations by You. Any information obtained by monitoring, reviewing, or recording is subject to review by law enforcement organizations in connection with the investigation or prosecution of possible criminal activity on any of Our Site and/or Software.
20.1. Our Indemnification Obligations: DX Software agrees to defend You against any claim, suit or proceeding brought by Third Parties (the “Claim(s)”) arising from or relating to Our violation of a Third Party's Intellectual Property Rights directly arising out of Your use of the Software in accordance this Agreement, and will indemnify and hold You harmless against any damages and costs awarded against You or agreed in settlement by DX Software (including reasonable attorneys' fees) resulting from such Claim. DX Software shall have no indemnification obligation with respect to any Claims arising out of or related to:
Your violation of any Applicable Laws;
Your violation, whether alleged or actual, of any Third Party rights, including but not limited to Data protection and privacy rights;
Your violation of this Agreement;
Your violation of this Agreement, negligence, willful misconduct, or fraud;
Your failure to use any enhancements, modifications, or updates to the Software that have been provided by DX Software;
modifications to the Software by anyone other than DX Software; or
combinations of the Software with software, data or materials not provided by DX Software.
20.2. Your Indemnification Obligations: You shall indemnify, hold harmless and defend DX Software , including any of its subsidiaries, officers, owners, partners, directors, employees, contractors, agents, shareholders, licensors, suppliers and other partners (“DX Software Indemnified Parties”), to the maximum extent permitted and in full at Your own cost, from any demands, disputes, liabilities, Claims, obligations, losses, damages, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with:
Your unauthorized use of any material obtained through Our Site and Software;
Your use and access to Our Site and Software which is not in accordance with this Agreement;
Your Processing of Personal Data in connection with Your use of Our Software;
Your violation of the Agreement; and
Your violation, whether alleged or actual, of any Third Party rights.
20.3. Indemnification Procedures: The parties' respective indemnification obligations above are conditioned on:
the indemnified parties giving the indemnifying party prompt written notice of the claim, except that the failure to provide prompt notice will only limit the indemnification obligations to the extent the indemnifying party is prejudiced by the delay or failure;
the indemnifying party has full and complete control over the defense and settlement of the claim (if permitted by Applicable Law) in particular, the indemnified party shall not settle or make other binding declarations concerning the Third Party claim without the prior written approval of the other party;
the relevant indemnified parties providing assistance in connection with the defense and settlement of the claim (as long as the settlement does not include any payment of any amounts by or any admissions of liability, whether civil or criminal, on the part of any of the indemnified parties), as the indemnifying party may reasonably request; and
the indemnified parties' compliance with any settlement or court order made in connection with the Claim arising under this Clause and settled by the indemnifying party or with its approval.
20.4. You shall not, without the prior express written approval of DX Software , attempt to, or settle, dispose or enter into any proposed settlement or resolution of any Claim (whether having been finally adjudicated or otherwise) brought against You, if such settlement or resolution results in any obligation or liability for DX Software . Provided that this clause shall survive termination of this Agreement, howsoever occurred, and termination of Your access and/or use of Our Site or Software.
21.1. This Agreement is governed exclusively by the Romanian law in force at the time of publication
22.1. You and DX Software waive their rights (if applicable) to a trial by jury relating to all claims and causes of action (including counterclaims) related to or arising out of this Agreement. This waiver shall also apply to any subsequent amendments or modifications to this Agreement.
23.1. All claims between the parties, including parent companies and subsidiaries, related to this Agreement will be litigated individually and You will not consolidate or seek class treatment for any claim with respect to the Services.
24.1. Our failure to enforce, at any time, any of the provisions, conditions or requirements of the Agreement, or the failure to require, at any time, the performance by You of any of the provisions of the Agreement, shall in no way waive Your obligation to comply with any of the provisions of the Agreement or Our ability to enforce each and every such provision as written.
24.2. Any and all waivers by either party hereto of any provision, condition or requirement of the Agreement will only be effective against the other Party if it is in writing and signed by an authorized officer of that Party, and any such written waiver will not constitute a waiver of any future obligation to comply with such provision, condition or requirement.
25.1. Both parties may only assign their rights and obligations under the Agreement in connection with a consolidation, merger, acquisition or sale of substantially all of their assets, shares or activities without the prior written consent of the other party.
26.1. Nothing contained in this Agreement shall be interpreted or construed to create a partnership, agency, single employer, joint employer or any other type of employment relationship between the parties hereto, or to impose liability attributable to such relationship upon either party. Neither party will have any right, power or authority to enter into any agreement on behalf of, to incur any obligation or liability of, or to otherwise bind the other party.
27.1. If any provision of this Agreement is found, by any court having competent jurisdiction, to be unenforceable, the other provisions of this Agreement shall remain in effect to the maximum extent possible.
28.1. Rights and obligations under this Agreement which by their nature are intended to survive termination, including without limitation the indemnification and liability limitations provisions set forth in this Agreement, shall remain in full effect after termination or expiration of the Agreement.
THE MATERIALS CONTAINED ON AND IN THE DX SOFTWARE SITE AND SOFTWARE ARE PROVIDED “AS IS”. OTHER THAN FOR THE EXPRESS WARRANTIES OF THIS AGREEMENT, DX SOFTWARE HEREBY MAKES NO FURTHER WARRANTIES, WHETHER EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR OTHER VIOLATION OF RIGHTS. FURTHER, DX SOFTWARE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE MATERIALS ON ITS SITE OR SOFTWARE, OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY THIRD PARTY SITES OR SOFTWARE LINKED TO WITHIN OUR SITE OR SOFTWARE OR THAT THE SOFTWARE WILL BE ERROR-FREE OR PROVIDE CERTAIN RESULTS.
